Corporations are categorized as either being for Profit and for Non Profit. For Profit corporations are further divided into either C or S.

C Corporations

  • A C Corporation has an independent legal and tax structure separate from their owners, and help separate your personal assets from your business debts.
  • There is no limit to the number of shareholders and it is taxed on corporate profits and shareholder dividends.
  • Must hold annual meetings and record meeting minutes.

S Corporations

  • An S Corporation has an independent legal and tax structure separate from their owners, help separate your personal assets from your business debts.
  • Owners report their share of profit and loss in the company on their personal tax returns.
  • There is a limit on number of shareholders, who must be U.S. citizens or residents.
  • Must hold annual meetings and record meeting minutes.

Non-Profit Corporations

  • A nonprofit corporation is a corporation formed to carry out a charitable, educational, religious, literary, or scientific purpose. A nonprofit can raise much-needed funds by soliciting public and private grant money and donations from individuals and companies. The federal and state governments do not generally tax nonprofit corporations on money they take in that is related to their nonprofit purpose, because of the benefits they contribute to society.
A limited liability company (LLC) is a form of business entity that is separate and distinct from a person, like a corporation.

A trade name, also known as a trading name or a business name, is the name which a business trades under for commercial purposes, although its registered, legal name, used for contracts and other formal situations, may be another.

An application for trade name is filed with the Secretary of State. When the Secretary of States office has approved the application, the Certificate of Trade Name can be recorded with the Recorders office in the county of the business principal location.

Recording the certificate is optional, but is seen by some as a way of preserving the rights to the company name.
A Corporate Kit is a binder usually containing all essential items for the required maintenance and administration of a corporation or LLC. Once your corporation or LLC is formed, you must comply with corporate formalities.

These formalities include holding initial and annual meetings of directors and shareholders or members, adopting bylaws or an operating agreement, and issuing shares of stock or units of membership. Corporate / LLC Kit contains the necessary items to make complying with these formalities easy.
After the Articles of Incorporation or Organization of a company have been approved by the Corporation Commission, you must publish the Articles of Incorporation or Organization in a newspaper of general circulation in the county of the known place of business, within 60 days from the date the Company was approved by the Corporation Commission.

A Registered Statutory Agent acts on behalf of the representative for accepting Service of Process of documents for the company within the jurisdiction of any state where the company conducts business.
